01Acceptance of these terms
These Terms of Use ("Terms") govern your access to and use of atellius.com, geo.atellius.com, and any service, proposal, statement of work, or subscription provided by NBN Ventures Ltd, trading as Atellius ("Atellius", "we", "us", "our"). By submitting an inquiry, signing a proposal, or creating a GEO Intel account, you ("Client", "you") agree to be bound by these Terms.
If you are entering these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case "you" refers to that entity.
02Who we are
NBN Ventures Ltd operates the Atellius studio brand at atellius.com and the GEO Intel subscription platform at geo.atellius.com. Both are operated by the same legal entity; references to "Atellius" throughout this document and the Privacy Policy and Refund Policy mean NBN Ventures Ltd.
Registered business address and company registration details are available on request at hello@atellius.com. Our operating base is Bengaluru, Karnataka, India.
03Description of services
We provide two distinct categories of service, each governed by a different commercial model:
- Project Services — fixed-scope or time-and-materials engagements delivered under a written proposal or Statement of Work ("SOW"): custom web and software engineering, GEO/AEO/AIO visibility audits, lead-triage system builds, and related consulting.
- Subscription Services — recurring-billed access to GEO Intel (geo.atellius.com) or any other software product we operate, billed monthly or annually.
Project Services are governed by the specific SOW or proposal you sign, which takes precedence over these Terms where the two conflict on scope, price, or delivery timeline. Subscription Services are governed by these Terms in full, together with any plan-specific terms shown at checkout.
04Eligibility and accounts
You must be at least 18 years old and capable of forming a binding contract to engage our services or hold a Subscription Service account. You are responsible for the accuracy of the information you provide and for maintaining the confidentiality of any account credentials.
You are responsible for all activity that occurs under your account. Notify us immediately at hello@atellius.com if you suspect unauthorised access.
05Engagements, proposals, and statements of work
Every Project Service begins with a discovery conversation and ends in either a written, signed proposal or a written referral if we are not the right fit. No engagement begins without a mutually agreed scope, price, and delivery cadence.
Scope changes requested after a SOW is signed are treated as new, separately quoted work. We do not absorb undocumented scope creep into a fixed-price engagement, and we do not begin unquoted work without your written agreement to the additional cost.
06Fees, invoicing, and payment
Fees for Project Services are set out in the applicable proposal or SOW. Fees for Subscription Services are shown at checkout and on your GEO Intel billing page. All payments are processed through Razorpay; we do not store your full card or bank details on our own systems.
Project Service invoices are due on the schedule stated in the SOW — typically an upfront deposit followed by milestone or completion payments. Work may be paused if an invoice becomes overdue by more than 14 days.
Subscription Service fees are billed in advance for each billing period (monthly or annual, as selected) and renew automatically until cancelled. See the Refund & Cancellation Policy for how cancellation and non-payment are handled.
07Refunds and cancellations (summary)
This is a summary. The full terms — including the narrow exceptions for billing errors and non-delivery — are set out in our Refund & Cancellation Policy, which forms part of these Terms by reference.
08Subscription service terms
GEO Intel and any other Subscription Service we operate renew automatically at the end of each billing period unless you cancel before the renewal date. You can cancel at any time from your account settings or by emailing hello@atellius.com; cancellation takes effect at the end of the current paid period, and you retain access until then.
We may introduce new plans, adjust pricing, or retire features with reasonable notice. Where a change materially reduces the value of your current plan, we will notify you by email before it takes effect on your next renewal.
We may suspend or terminate a Subscription Service account for non-payment, abuse of the platform, violation of the Acceptable Use section below, or activity that puts other tenants' data or the platform's security at risk.
09Intellectual property
On full payment of the applicable invoice, you own the custom deliverables created specifically for you under a Project Service SOW — source code written for your engagement, designs, and content produced for your project, excluding the items listed below.
- We retain ownership of our pre-existing tools, frameworks, internal libraries, component primitives, and know-how used to deliver the work, and may reuse non-client-specific patterns, architecture approaches, and generic code structures across other engagements.
- Third-party software, fonts, libraries, and services incorporated into your project remain licensed from their respective owners and are not transferred to you beyond the scope of their own licence terms.
- GEO Intel and any other Subscription Service platform, including its underlying software and infrastructure, remain the property of NBN Ventures Ltd. Subscribing grants you a licence to use the platform — it does not transfer ownership of the platform itself.
Unless otherwise agreed in writing, we may reference completed Project Service engagements in our portfolio, case studies, and marketing — including project outcomes and, where permitted, screenshots — but will not disclose confidential business data without your consent.
10Confidentiality
Each party agrees to keep the other's confidential business information private and to use it only for the purpose of the engagement. This obligation survives termination of the engagement. A standard mutual non-disclosure agreement is available on request before any discovery conversation.
11Acceptable use
When using GEO Intel or any Subscription Service, you agree not to:
- Reverse-engineer, decompile, or attempt to extract the source code of the platform, except to the extent applicable law expressly permits.
- Use the platform to scan, audit, or process a domain you do not own or have explicit authorisation to assess.
- Attempt to circumvent usage limits, rate limits, or credit metering, or resell platform access without a signed white-label or reseller agreement.
- Upload or transmit unlawful content, or use the platform in a way that infringes a third party's rights.
Violation of this section may result in immediate suspension or termination of your account without a refund of the current billing period.
12Third-party services and integrations
Delivery of our services relies on third-party infrastructure, including payment processing (Razorpay), transactional email (Resend), hosting and edge delivery (Cloudflare), and privacy-respecting analytics (Plausible). We select these providers carefully, but we are not responsible for outages, data breaches, or policy changes originating from a third-party provider outside our control.
13Warranties and disclaimers
For Project Services, we warrant that work will be performed with reasonable skill and care consistent with professional industry standards, and that any defects in deliverables reported within 30 days of final delivery will be corrected at no additional charge, provided the defect is not caused by changes made outside our engagement.
GEO Intel and any Subscription Service are provided "as is" and "as available." We do not guarantee that the platform will be uninterrupted, error-free, or that any specific citation, ranking, or search-visibility outcome will result from using it — AI search engines and traditional search engines are third-party systems outside our control, and no provider can guarantee their output.
Except as expressly stated in this section, we disclaim all other warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.
14Limitation of liability
To the fullest extent permitted by law, NBN Ventures Ltd will not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or lost data, arising from your use of our services.
Our total liability arising out of or relating to a Project Service is limited to the fees you paid for that specific engagement in the 12 months preceding the claim. Our total liability arising out of a Subscription Service is limited to the fees you paid for that subscription in the 3 months preceding the claim.
Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud or wilful misconduct.
15Indemnification
You agree to indemnify and hold us harmless from claims, damages, and expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of a Subscription Service, or content you submit that infringes a third party's rights.
16Term and termination
A Project Service engagement runs for the term stated in its SOW and terminates on completion, or earlier by written agreement of both parties per the SOW's exit clause.
A Subscription Service continues until cancelled by you or terminated by us under the Acceptable Use or non-payment provisions above. On termination, your right to access the platform ends; provisions that by their nature should survive — including Intellectual Property, Confidentiality, Limitation of Liability, and Governing Law — continue to apply.
17Force majeure
Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including natural disasters, internet or infrastructure outages at a third-party provider, war, or governmental action.
18Governing law and dispute resolution
These Terms are governed by the laws of India, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or our services is subject to the exclusive jurisdiction of the courts at Bengaluru, India.
Before initiating formal proceedings, both parties agree to attempt to resolve the dispute in good faith by contacting hello@atellius.com.
19Changes to these terms
We may update these Terms from time to time. Material changes will be reflected by an updated "Effective Date" at the top of this page, and — for active Subscription Service holders — communicated by email in advance of taking effect. Continued use of our services after a change takes effect constitutes acceptance of the revised Terms.
